Terms of service

These terms are an agreement between you and Capify, Inc. ("we", "us") for your use of Midify, its website and its apps (the "service"). By creating an account or using the service, you accept them. If you use the service for an organization, you accept them on its behalf.

1. The service

Midify converts audio into MIDI and related data. Server jobs separate stems and transcribe them on our infrastructure; quick mode and hum to MIDI run in your browser. Transcription is automatic and will contain mistakes, so check the output before you rely on it.

2. Your account

You must be at least 16, give accurate details and keep your login secure. You are responsible for activity on your account. One free account per person: creating extra accounts to get more free songs is not allowed.

3. Plans, payment and cancellation

• The free plan includes a monthly allowance of server songs that resets each month and does not roll over.
• Paid plans renew monthly or yearly until cancelled. Payments are processed by Paddle, our merchant of record, whose terms also apply to your purchase.
• You can cancel anytime; your plan stays active until the end of the paid period. Fees already paid are not refunded except where the law or Paddle's refund policy requires.
• We may change prices with at least 30 days' notice before your next renewal.

4. Your audio

You keep all rights in the audio you upload. You give us a limited licence to store and process it only to provide the service to you, including sending it to our processing providers. We do not use it to train models. Files are deleted 30 days after the job, or sooner when you delete them.

You confirm that you own the audio you upload, or have the permission you need to process it.

5. The output

We claim no rights in the MIDI and other output the service produces for you. Rights in the songs you transcribe stay with their owners, and we give no commercial-use guarantee. The output terms explain this in detail and form part of these terms.

6. Acceptable use

Do not use the service to:

• infringe anyone's copyright or other rights;
• upload malware, or audio you obtained unlawfully;
• overload, probe, scrape or reverse engineer the service, or get around its limits;
• resell or provide the service to others without our written permission.

We may suspend or close accounts that break these rules, and remove content we believe infringes someone's rights.

7. Our responsibilities

We work to keep the service available and your files safe, but it is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties, including that output will be accurate or fit a particular purpose.

To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for any claim is limited to the amount you paid us in the 12 months before it. Nothing in these terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

8. Ending the agreement

You can stop using the service and delete your account at any time. We may end these terms or suspend the service with notice, or immediately for a serious breach.

9. Changes

We may update these terms. If a change is significant, we will tell account holders by email before it takes effect. Continuing to use the service after that means you accept the new terms.
